Originally from the Far East of Russia, Tatiana came to the US in 1995 and graduated from Willamette University with a joint JD and MBA degree in 2000.  She then joined Tonkon Torp LLP, a large regional firm in Portland, Oregon.  After 16 years of practice (first, as an associate and then, as a partner) at Tonkon Torp LLP, Tatiana has founded her own firm, Elwood Law PC, in Portland, Oregon.

Tatiana has represented private and public companies in all aspects of business and corporate law:

  • Company formation and registration

  • Shareholder and partnership agreements

  • Strategic subsidiary structuring and corporate restructuring

  • Issuance of securities and equity and debt financing

  • Mergers and acquisitions

  • Manufacturing and supply agreements

  • Other agreements related to operations of a business

Tatiana represents clients in numerous industries, from e-commerce to cannabis, including one of the first private equity funds focused on cannabis-related investments domestically (in Oregon and other states that have legalized marijuana) and internationally.  Tatiana has also worked with her money manager clients on compliance with SEC regulations and FINRA rules.

A portion of Tatiana’s practice involves compliance with state and federal information privacy and security laws and regulations, with the preparation of privacy policies, cloud computing agreements and identity theft prevention programs and with breach response actions.
